  3.               for Babylon Trial Version and Babylon-Pro 
  4.  
  5.  
  6. BY CLICKING ON THE "YES" BUTTON, YOU ARE CONSENTING TO BE 
  7. BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT AND 
  8. THE RELATED AGREEMENTS AS SPECIFIED BELOW.  IF YOU DO 
  9. NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, CLICK 
  10. THE "NO" BUTTON.

  13. Except when stated otherwise below, the terms and conditions of this License 
  14. Agreement, apply to both Babylon Trial Version and Babylon-Pro.  In General, 
  15. the difference in installation between the software of Babylon Trial Version 
  16. and Babylon-Pro is that the Babylon-Pro is a paid License, and therefore 
  17. is advertising free and has full functionality. 
  18.  
  19. Babylon Trial Version (the sponsored service) Specific Terms and Conditions
  20.  
  21. If you decided to install the Babylon Trial Version, the software you are about 
  22. to download contains several parts: one is the Babylon Trial Version software, 
  23. another is the "Ads on Software" software (the "Cydoor software") by Cydoor 
  24. Technologies Inc. ("Cydoor"). In addition, from time to time Babylon may require 
  25. that you install during the initial download one or more of the following plugins:
  26. [-] (the "Plugins"). 
  27. As part of this license agreement, You are required to click on the links 
  28. and to read the license agreement and privacy policy of every such Plugin, 
  29. and to agree to the terms and conditions specified therein.

  31. The Cydoor software and the Plugins enable us to offer to you this 
  32. Babylon Trial Version license free of charge, and therefore you can not 
  33. install and use the Babylon Trial Version software without installing the 
  34. Cydoor software and the required Plugins. Using the Babylon Trial Version 
  35. without the Cydoor software and the required Plugins constitutes a breach 
  36. of this Agreement.

  38. The Cydoor software will continuously present to you alternating advertisements 
  39. while using the Babylon Tool. For this purpose, the Cydoor software may require 
  40. that you connect to the Internet from time to time, and in any event, you are 
  41. required to connect to the Internet at least once every thirty days.

  43.  
  44. The use of the Cydoor software is subject to the Cydoor End-User License Agreement, 
  45. and to the privacy policy of Cydoor, both of which may be found at 
  46. <http://www.cydoor.com/Cydoor/company/CompanyPrivacy.htm>
  47. or through Cydoor's corporate offices. You confirm that you have read, understood 
  48. and agreed to the terms and conditions specified in the Cydoor End-User License 
  49. Agreement, and the privacy policy of Cydoor.

  51. Although Babylon does its very best to insure that the Cydoor software complies 
  52. with terms and conditions of use and privacy policy acceptable to Babylon, there 
  53. can be no assurance on behalf of Babylon that such terms are met by Cydoor. 
  54.  
  55. Since the Cydoor software is not a Babylon product, Babylon takes no 
  56. responsibility and gives no warranty of any kind with respect to the Cydoor 
  57. software, its functioning, quality, merchantability or fitness for any use. 
  58. However, if a competent jurisdiction determines that Babylon is responsible 
  59. for the Cydoor software in any respect whatsoever, then Babylon's terms and 
  60. conditions for use of the Glossary Service, as specified here, shall apply 
  61. to the Cydoor software. 
  62.  
  63. The Cydoor software and the Plugins may utilize certain user and user-
  64. submitted information. For more information about the functioning of 
  65. the Cydoor software and the Plugins, and about the use of user and 
  66. user-submitted information by the Cydoor software and the Plugins, 
  67. see Cydoor's and the Plugins' Privacy Policy and End-User License 
  68. Agreement, and Babylon's privacy policy.

  70. License Grant
  71.  
  72. If You are using the free trial version: 
  73. Babylon.com Ltd. hereby grants to you a non-exclusive, time limited, 
  74. revocable license to use Babylon's Trial Version software in connection 
  75. with the limited viewing of Babylon's proprietary "Babylon Glossaries" 
  76. system (the Babylon Trial Version, the Babylon-Pro and the Babylon 
  77. Glossaries system hereinafter collectively, the "Tool"), free of charge 
  78. in the case of the Babylon Trial Version, which is the sponsored version 
  79. of the Tool, so long as you comply with the terms and conditions of this 
  80. License Agreement.

  82. If You have purchased a one or two year time-limited Babylon-Pro License: 
  83. Upon payment in full of the License fee to Babylon.Com, Babylon.Com Ltd. 
  84. hereby grants to you a non-exclusive, revocable time-limited (for one or 
  85. two years, as applicable according to the License fee paid) license to use 
  86. Babylon-Pro software in connection with the limited viewing of Babylon's 
  87. proprietary "Babylon Glossaries" system. 
  88. Licensee may terminate this License by destroying the programs and 
  89. documentation and all copies thereof. If any of the terms and conditions 
  90. of this Agreement are violated by the Licensee, in addition to all other 
  91. legal rights and remedies Babylon.Com may terminate this License. 
  92. Upon termination, Licensee shall destroy the software. The provisions of 
  93. this License which protect the proprietary rights of Babylon.Com, shall 
  94. remain in force after the termination of this Agreement.

  96. If You have purchased a Babylon Pro License not limited by time: 
  97. Upon payment in full of the License fee to Babylon.Com, Babylon.Com Ltd. 
  98. hereby grants to you a non-exclusive, revocable license to use Babylon-Pro 
  99. software in connection with the limited viewing of Babylon's proprietary 
  100. "Babylon Glossaries" system which shall remain valid until terminated. 
  101. Licensee may terminate this License by destroying the programs and 
  102. documentation and all copies thereof. If any of the terms and conditions 
  103. of this Agreement are violated by the Licensee, in addition to all other 
  104. legal rights and remedies Babylon.Com may terminate this License. Upon 
  105. termination, Licensee shall destroy the software. The provisions of 
  106. this License which protect the proprietary rights of Babylon.Com, shall 
  107. remain in force after the termination of this Agreement.

  109. Limited Maintenance Period for Babylon-Pro Users Only:
  110.  
  111. Upon payment in full of the License fee to Babylon, Babylon.Com shall 
  112. also supply to You updates and revisions of the Product, if and when 
  113. issued by Babylon.Com (excluding major upgrades, new versions or future 
  114. premium content, all as may be decided by Babylon.Com upon its exclusive 
  115. discretion), as follows: 
  116. (a) If You have purchased the time-Limited License (one or two years) - 
  117.        for the duration of the License.
  118. (b) If You have purchased a License not limited by time - 
  119.        for the first twelve (12) months after the initial purchase of the Product.

  122. The trial version of the Tool may be distributed freely on online 
  123. services, bulletin boards, or other electronic media as long as the 
  124. files are distributed in their entirety and are downloaded only by 
  125. providing a link to files residing on BabylonÆs servers.  This software 
  126. may not be distributed on CD-ROM, disk, or other physical media 
  127. for a fee without the permission of Babylon.com Ltd.

  130. Not a Corporate or Business License
  131.  
  132. This License is a single-user non-corporate license only. The use of the 
  133. TOOL by any business, organization, agency and the like, whether 
  134. for commercial, non-commercial or educational use requires a separate corporate 
  135. license. For prices and further information about a corporate license, please 
  136. contact corporate@babylon.com.

  138. Special Terms and Restrictions of Use for the Babylon Trial Version
  139.  
  140. Babylon may, at its sole discretion, at any time, without prior notice and 
  141. temporarily or permanently: 
  142. (i) terminate, limit or deny the License 
  143. (ii) change, reduce or limit the functionality and features of the Tool; 
  144. (iii) create different priorities or grades for different users 
  145. (iv) introduce new features that may cause functionality change in earlier versions; 
  146. (v) condition the continuation of the License on your accepting Tool improvements, 
  147. corrections, adaptations, or changes, or accepting revised or new terms of License, 
  148. as will be made available on or through the Babylon website, Babylon shall notify 
  149. its users through the Tool, by e-mail or through the Babylon website of changes in 
  150. this License agreement.

  152. Except for Babylon-Pro Users, who are entitled to VIP email customer service from 
  153. BabylonÆs support team, this license does not entitle you to any hard-copy 
  154. documentation, support or telephone assistance. 
  155.  
  156. You may not use or rely on the Tool or the Babylon Website for applications or use 
  157. that may result in damage or for applications or use which contain information or 
  158. data you do not wish to be freely accessible and generally available to Internet 
  159. users.

  161. Privacy Policy
  162.  
  163. You have read, understood and agreed to Babylon's Privacy Statement applicable to 
  164. you, which is part of this Agreement, and is posted at:

  168.  
  169. Compliance with Applicable Laws
  170.  
  171. You agree to comply with any applicable copyright, secrecy, defamation, decency, 
  172. privacy, export or other laws.  Babylon is not responsible and/or liable for any 
  173. information, including without limitation, the databases and user-posted website 
  174. material, submitted to the Babylon Website. Babylon may erase, remove, delete, 
  175. delay, jam or alter such information without prior notice, for functional or any 
  176. other reason.

  178. Copyright, Proprietary Information
  179.  
  180. This Agreement does not grant to you any rights to any patents, copyrights, 
  181. trade secrets, trademarks (registered or not) trade names, domain names or 
  182. any other proprietary material of Babylon. You agree not to reverse engineer, 
  183. modify, de-compile, disassemble, alter, duplicate, distribute, repackage, sell, 
  184. copy, create derivative works from or transfer the Glossary Service. You also 
  185. undertake not to remove or alter any trademark, logo, copyright, advertisement 
  186. or other proprietary notices, legends, or labels on or in the Glossary Service.

  188. NO WARRANTY, Liability
  189.  
  190. YOU EXPRESSLY AGREE THAT USE OF THE TOOL IS AT YOUR SOLE 
  191. RISK. THE TOOL IS PROVIDED ON AN "AS IS, AS AVAILABLE" 
  192. BASIS.  BABYLON MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, 
  193. INCLUDING, WITHOUT LIMITATION, THOSE OF MERCHANTABILITY 
  194. AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE 
  195. TOOL, INCLUDING BUT NOT LIMITED TO THE BABYLON SERVERS, 
  196. ANY BABYLON SERVICE, OR ANY INFORMATION POSTED BY USERS 
  197. ON THE BABYLON WEBSITE OR UPLOADED BY USERS TO THE TOOL. 
  198. BABYLON DOES NOT WARRANT, GUARANTEE OR MAKE ANY 
  199. REPRESENTATION REGARDING THE USE OR THE RESULTS OF THE 
  200. USE OF THE TOOL IN TERMS OF THE ACCURACY, RELIABILITY, 
  201. QUALITY, VALIDITY, STABILITY, COMPLETENESS, CURRENTNESS, 
  202. OR OTHERWISE OF ITS CONTENT OR PRODUCTS. THE ENTIRE RISK 
  203. AS TO THE RESULTS AND PERFORMANCE OF THE TOOL AND SERVERS 
  204. IS ASSUMED BY THE USER.

  206. Babylon does not warrant or guarantee that the functions or 
  207. services performed by the Tool will be uninterrupted or 
  208. error-free or that defects in the Tool will be corrected. 
  209. By downloading the Tool you might be exposed to infection 
  210. by viruses, worms, Trojan horses or anything else manifesting 
  211. contaminating or destructive properties. It is your sole 
  212. responsibility to take steps to ensure that the Tool or 
  213. information, if contaminated or infected, will not damage 
  214. your system.
  215.  
  216. IN NO EVENT WILL BABYLON BE LIABLE TO YOU OR ANY OTHER 
  217. PARTY (i) FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, 
  218. INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT 
  219. LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS 
  220. INTERRUPTION, LOSS OF PROGRAMS OR INFORMATION, AND THE 
  221. LIKE), OR ANY OTHER DAMAGES ARISING IN ANY WAY OUT OF THE 
  222. AVAILABILITY, USE, RELIANCE ON, OR INABILITY TO USE THE 
  223. TOOL, OR ANY OTHER INFORMATION PROVIDED BY BABYLON OR ITS 
  224. USERS, EVEN IF BABYLON SHALL HAVE BEEN ADVISED OF THE 
  225. POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE FORM OF 
  226. ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE; OR 
  227. (ii) FOR ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR 
  228. OTHER INACCURACIES IN, OR DESTRUCTIVE PROPERTIES OF ANY 
  229. INFORMATION. IN NO EVENT WILL BABYLON'S LIABILITY WITH 
  230. RESPECT TO THIS AGREEMENT EXCEED THE AMOUNT YOU PAID (IF 
  231. YOU PAID) TO BABYLON FOR THE TOOL.

  234. General Terms
  235.  
  236. You agree that this agreement is not intended to confer, and does not confer, any 
  237. rights or remedies upon any person other than the parties to this agreement. If any 
  238. part of this agreement is held invalid or unenforceable, that portion shall be 
  239. construed in a manner consistent with applicable law to reflect, as nearly as possible, 
  240. the original intentions of the parties, and the remaining portions shall remain in full 
  241. force and effect.Babylon may transfer, assign sublicense or pledge in any manner 
  242. whatsoever, any of its rights and obligations under this Agreement to a subsidiary, 
  243. affiliate, successor thereof, or to any third party whatsoever, without notifying you or 
  244. receiving your consent.    You shall not transfer, assign, sublicense or pledge in any 
  245. manner whatsoever, any of your rights or obligations under this agreement. 
  246.  
  247. Governing Law and Jurisdiction
  248.  
  249. The laws of the State of Israel shall govern this Agreement. You expressly agree that 
  250. exclusive jurisdiction for any claim or dispute with Babylon arising out of or in 
  251. connection with this Agreement, including its validity, resides in the competent 
  252. courts of Tel Aviv, Israel .This section shall survive the termination of this 
  253. agreement.
